Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReconPath ("ReconPath," "we," "us") — recon and inventory software for used-car dealers. By creating an account or using the service, you agree to these Terms on behalf of your dealership ("you").
1. Your account
You must provide accurate information and are responsible for the activity under your account and for keeping credentials secure. You're responsible for your team's use of the service and for setting appropriate role permissions. You must be authorized to bind your dealership to these Terms.
2. Subscription & billing
- ReconPath is offered on a subscription basis at $99 per month per dealership account, unless otherwise agreed in writing.
- Subscriptions are month-to-month and renew automatically until cancelled. You can cancel anytime, effective at the end of the current billing period.
- Fees are charged in advance and are non-refundable except where required by law. We may change pricing with reasonable advance notice; changes apply to the next renewal.
- A free trial, where offered, converts to a paid subscription only if you choose to continue.
3. Acceptable use
You agree not to misuse the service. You will not: break the law or infringe others' rights; upload malware; attempt to gain unauthorized access, probe, or disrupt the service; resell or provide the service to third parties outside your dealership without our consent; or use it to store data you have no right to store.
4. Your data
You own the data you put into ReconPath. You grant us the limited rights needed to host and operate the service for you. You're responsible for the accuracy and legality of your data and for having the rights to any photos, documents, and personal information you upload. Our handling of data is described in our Privacy Policy.
5. Availability
We work to keep ReconPath available and reliable, but the service is provided on an "as available" basis. We may perform maintenance, update features, or modify the service. We don't guarantee uninterrupted or error-free operation.
6. Third-party services
The service relies on third parties (for example hosting, payments, VIN decoding, and email). We aren't responsible for those providers' services, and your use of them may be subject to their terms.
7. Suspension & termination
You may cancel at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or use the service in a way that risks harm to others or to the service. On termination, your right to use the service ends; you'll have a limited period to export your data as described in the Privacy Policy.
8. Disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ReconPath is a workflow and record-keeping tool; it is not legal, financial, or compliance advice, and you're responsible for your own business decisions.
9. Limitation of liability
To the fullest extent permitted by law, ReconPath will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
10. Indemnity
You agree to indemnify and hold ReconPath harmless from claims arising out of your data, your use of the service, or your violation of these Terms or applicable law.
11. Changes to these Terms
We may update these Terms from time to time. We'll update the date above and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Washington will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
